Terms of Service

1. Acceptance

These Terms are a binding agreement between you (the “Customer”) and [LEGAL ENTITY NAME] (“WebIntel”). By creating an account or using the service, you agree to these Terms. If you are agreeing on behalf of an organisation, you confirm you are authorised to bind it.

2. The service

WebIntel provides an embeddable AI chat assistant that answers a website’s visitors using content drawn from that website, together with a dashboard to configure, test, and monitor the assistant.

3. Accounts

You are responsible for your account credentials and for all activity under your account. Provide accurate information and keep it current. Notify us promptly of any unauthorised use.

4. Acceptable use

You agree not to, and not to permit others to:

• crawl or index any website you do not own or have clear authorisation to use;
• upload or process unlawful, infringing, or harmful content;
• use the service to generate spam, disinformation, or to harass or deceive people;
• probe, attack, reverse-engineer, or attempt to bypass the service’s security or rate limits;
• resell or provide the service to third parties except as expressly permitted;
• exceed the limits of your plan through automated or abusive means.

5. Your responsibilities

You are solely responsible for the content you ingest and for having the rights to use it. Because the assistant answers your visitors, you are the data controller for those interactions and are responsible for your own privacy notice and lawful basis; our processing on your behalf is governed by the Data Processing Agreement. You are responsible for reviewing your bot’s configuration and outputs before relying on them.

6. Nature of AI answers

The assistant generates answers from your website content using automated systems. While the service is designed to stay grounded in your content, cite sources, and decline when it cannot find an answer, outputs may occasionally be inaccurate or incomplete. Answers are provided for informational purposes and are not professional, legal, financial, or medical advice. You are responsible for any decisions made based on them and for reviewing outputs where accuracy is critical.

7. Plans, billing & refunds

• Plans. Paid plans are billed in advance on a recurring monthly basis at the prices shown at purchase. A free plan is available with reduced limits.
• Taxes. Prices are exclusive of taxes unless stated; you are responsible for any applicable taxes.
• Renewal. Subscriptions renew automatically until cancelled. You may cancel at any time, effective at the end of the current billing period.
• Quotas. Each plan includes a monthly conversation allowance; the assistant may pause new conversations once the allowance is reached until you upgrade or the period resets.
• Refunds. [State your refund policy — e.g. “Fees are non-refundable except where required by law,” or a specific money-back window.]

8. Trials

A trial lets you crawl a limited number of pages of a website and chat with the result. Trials are provided “as is” for evaluation, are limited in pages and duration, and may be withdrawn or expire.

9. Intellectual property

WebIntel and its software, models integration, and design are owned by us and our licensors. Your website content and data remain yours; you grant us a limited licence to process it solely to provide the service. Feedback you provide may be used to improve the service.

10. Availability

We aim for high availability but the service is provided on a commercially reasonable, best-effort basis unless a separate service-level agreement is signed. We may perform maintenance and may modify or discontinue features with reasonable notice.

11. Disclaimer of warranties

Except as expressly stated, the service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and including any warranty as to the accuracy of AI-generated output.

12. Limitation of liability

To the maximum extent permitted by law, WebIntel will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for lost profits or data. Our total liability arising out of or relating to the service will not exceed the amounts you paid to us in the [three (3) / twelve (12)] months before the event giving rise to the claim.

13. Indemnity

You will indemnify and hold WebIntel harmless from claims arising out of your content, your use of the service, or your breach of these Terms.

14. Termination

You may stop using the service and cancel at any time. We may suspend or terminate access for breach of these Terms or to protect the service. On termination, your right to use the service ends and, after a reasonable period, your data is deleted.

15. Changes

We may update these Terms; we will revise the “Effective” date and, for material changes, provide reasonable notice. Continued use after changes take effect constitutes acceptance.

16. Governing law
